3. Website Terms and Separate Customer Agreements

These Terms of Use apply to your use of the Website.

They do not replace or modify any separate written quote, estimate, order confirmation, sales agreement, installation agreement, warranty, financing agreement, or other contract entered into between you and Zenith Shade.

The purchase, manufacture, delivery, installation, repair, or servicing of custom window coverings may be subject to additional terms and conditions provided in a separate written agreement.

If there is a conflict between these Terms of Use and a signed customer agreement concerning the purchase or provision of products or services, the signed customer agreement will govern the applicable transaction.

Nothing displayed on the Website constitutes a final sales contract, binding quote, guarantee of availability, or unconditional offer to sell.

4. Eligibility and Authority

You may use the Website only if you have reached the age of majority in your province or territory of residence or are using the Website under the supervision of a parent or legal guardian.

When submitting information on behalf of a business, property owner, tenant, spouse, family member, designer, builder, contractor, property manager, or other person, you represent that you have the authority to provide that information and act on their behalf.

You must not submit another person’s personal information, property photographs, project information, or contact details without appropriate authorization.

6. Consultation and Quote Requests

  • Guarantee that Zenith Shade will accept the project;
  • Create a binding customer relationship;
  • Reserve an appointment;
  • Confirm product availability;

  • Create an obligation for Zenith Shade to supply any product or service.

A request is considered received only when it has successfully reached our systems. An appointment is confirmed only when Zenith Shade provides confirmation.

Any pricing or cost information communicated before a final assessment may be preliminary and subject to change based on measurements, material selections, motorization requirements, site conditions, installation complexity, applicable taxes, delivery costs, electrical work, or other project-specific factors.

A final quote will be governed by the terms stated in that quote or in the related customer agreement.

7. Product Images, Colours, Textures, and Samples

Product photographs, room images, renderings, videos, colour swatches, fabric images, and other visual materials on the Website are intended to provide a general representation of our products.

The appearance of a product may vary due to:

  • Screen brightness and display settings;
  • Device type;
  • Photography and lighting conditions;
  • Dye-lot, wood-grain, or material variations;
  • Fabric weave and texture;
  • Product size and configuration;
  • Room lighting;
  • Natural and artificial light exposure;
  • Manufacturing updates; and

Colours and textures displayed on a screen should not be relied upon as an exact match to a physical product.

Natural materials, textiles, and manufactured fabrics may contain minor differences in colour, texture, pattern, weave, grain, or finish. These differences may be normal characteristics of the material and may not constitute defects.

Where Zenith Shade has not completed or approved the final measurements, the customer may be responsible for errors resulting from incorrect, incomplete, or inaccurate customer-supplied measurements.

Any responsibilities concerning final measurements, remakes, adjustments, or installation will be governed by the applicable written quote or customer agreement.

9. Custom-Made Products

Many Zenith Shade products are custom-manufactured according to project-specific measurements, fabrics, colours, control systems, mounting options, and other selections.

The Website itself does not establish the cancellation, return, exchange, remake, deposit, or refund conditions for a custom order. Those conditions will be stated in the applicable quote, order confirmation, warranty, or customer agreement.

Custom-made products may not be eligible for ordinary return or exchange once manufacturing has begun, except where required by applicable law or expressly permitted under the applicable customer agreement.

Nothing in these Terms of Use limits any non-waivable cancellation, refund, warranty, or other consumer right available under applicable law.

10. Motorization and Smart-Home Compatibility

The Website may contain information about motorized blinds, remote controls, wall switches, timers, sensors, mobile applications, voice assistants, hubs, bridges, home-automation platforms, and other connected technologies.

Compatibility may depend on:

  • The selected motor and control system;
  • The product manufacturer;
  • Available electrical power;

  • Radio-frequency range;
  • Wi-Fi or network strength;
  • Mobile-device compatibility;

Specific product, motorization, electrical, and integration responsibilities will be governed by the applicable quote or customer agreement.

11. Installation and Property Conditions

Website Content describing installation is general information only.

The feasibility and scope of an installation may depend on conditions discovered during measurement or installation, including:

  • Window construction;
  • Wall or ceiling materials;
  • Hidden wiring or plumbing;
  • Insufficient mounting depth;
  • Uneven surfaces;
  • Structural conditions;
  • Existing damage;
  • Obstructions;
  • Electrical access;
  • Building rules;
  • Condominium requirements; and
  • Health or safety concerns.

Zenith Shade may decline, postpone, or modify installation work where site conditions create an unreasonable safety risk, prevent proper installation, or require additional work outside the agreed scope.

Any additional work, charges, customer preparation requirements, or exclusions will be governed by the applicable customer agreement.

12. Intellectual Property Rights

Unless otherwise indicated, the Website and its Content are owned by, licensed to, or used with permission by Zenith Shade and are protected by Canadian and international copyright, trademark, design, and other intellectual-property laws.

Protected Content may include:

  • The Zenith Shade name and logo;
  • Product and collection names;
  • Website text and written copy;

Submitting room photographs or project information does not automatically give Zenith Shade permission to publish them in advertising, social media, project galleries, or other promotional material.

We will obtain separate permission before intentionally using identifiable customer project photographs, names, or testimonials for marketing purposes, except where the material has already been publicly posted by you in a manner that permits such use or where its use is otherwise permitted by law.

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Zenith Shade and its owners, directors, employees, contractors, representatives, and service providers from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:

  • Your unlawful or unauthorized use of the Website;
  • Your material breach of these Terms of Use;
  • Information or material you submit without the required authority;

  • Prevents either party from seeking urgent injunctive or protective relief;

  • Limits any mandatory right or remedy available under applicable consumer-protection law.

33. Special Provisions for Québec Consumers

If you are a consumer residing in Québec, these Terms of Use apply only to the extent permitted by Québec law.

Nothing in these Terms of Use limits or waives any right or remedy that cannot be excluded under the Consumer Protection Act, the Civil Code of Québec, or other applicable Québec legislation.

Any provision concerning governing law, jurisdiction, disclaimers, liability limits, indemnification, amendments, arbitration, or class proceedings will apply to a Québec consumer only to the extent that it is valid and enforceable under applicable Québec law.

Where applicable law requires documents or communications to be provided in French, Zenith Shade will comply with those requirements.

34. Consumers in Other Provinces and Territories

Consumers may have mandatory rights under the laws of their province or territory.

Nothing in these Terms of Use is intended to waive, restrict, or replace a statutory consumer right that cannot legally be waived.

If a provision of these Terms conflicts with a mandatory consumer-protection requirement, the mandatory requirement will apply to the extent of the conflict.

These Terms of Use, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the entire agreement between you and Zenith Shade concerning your use of the Website.

They do not replace any separate written customer agreement governing a quote, order, product, measurement, installation, warranty, repair, or other service.

These Terms of Use have been prepared in English.

Where a French version is provided, both versions are intended to communicate the same terms. If applicable law requires one version to prevail or requires a particular language version to be provided, the applicable legal requirement will govern.
